Kevin DeBorde is a director of Dickenson, Peatman & Fogarty. His practice encompasses general business matters; real property transactions and financings; alcoholic beverage licensing, compliance and trade practice matters; mergers and acquisitions; and private security placements.
Prior to joining DP&F in 2006, Kevin worked at international law firms in San Francisco and Orange County, California, as well as in-house with a closely held corporation in Southern California. Kevin has represented wineries, landowners, developers, builders, REITs, financial institutions, and public and private companies in matters ranging from real estate sales, acquisitions and leasing, business entity selection and formation, business sales and acquisitions, and debt and equity financing transactions.
Kevin has counseled wineries and affiliated companies in various matters applicable to the wine industry; represented purchasers and sellers of vineyard and winery properties in all of the major wine growing regions in California; and assisted entities and individuals in obtaining alcohol beverage licenses and permits for wineries, breweries and restaurants. He has also represented borrowers and lenders in vineyard and winery financings, barrel loans, and working capital lines of credit.
Kevin received his B.A. in Political Science from the University of California, Davis and he earned his law degree with honors from Cornell Law School.
When he is away from his office, Kevin enjoys traveling with his wife, sailing, and riding his mountain bike, road bike or motorcycle throughout the Napa Valley and beyond. He is also Secretary and outside general counsel to the Napa Valley Vine Trail Coalition, which hopes to help improve the quality of life of Napa Valley residents and visitors through the creation of a safe system of trails for bicycling, walking, recreation and transportation. In addition to his work for the Vine Trail, he currently serves, on a pro-bono basis, as outside counsel to Ride For A Reason, Inc., which organizes an annual charitable bicycling event to support Parkinson’s Disease and cancer research, and the Napa County Bicycle Coalition, which promotes bicycling for recreation and transportation in Napa County.

- Represented Digimarc Corporation in its acquisition of assets of Cognicity, Inc., and a license from the University of Minnesota
- Represented Digimarc Corporation, a leading supplier of secure media solutions used in a wide range of security, identification and digital media content applications, in its acquisition of Polaroid’s ID Systems business for $56.5 million
- Represented a consortium of lenders in a multi-billion dollar corporate financing secured by California redwood forests
- Represented the purchaser of a $100 million office building in San Diego County
- Represented Sage, Inc., then a NASDAQ-quoted company that produced digital display processors, in its acquisition of Genesis MicroChip for $241 million
- Represented numerous domestic and overseas wineries in negotiations with distributors and importers throughout the US, Asia, Europe and South America.
- Represented a renowned restaurant group in the restructuring of a portion of its operations, including investor issues, leasing, financing and alcoholic beverage license transfers
- Represented numerous individuals and family trusts in the purchase and acquisition of premium residential, vineyard and winery properties in Napa, Sonoma, Mendocino, Monterey, and San Francisco Counties
- Represented Imagine Media in the sale of the publication Business 2.0 to Time Warner for approximately $70 million
- Represented Yipes Communications, a provider of high-speed data service over Ethernet, in its Series B Preferred Stock financing and its Series C Preferred Stock financing, for a total of $290 million in preferred stock financings
- Represented Wine.com, an on-line wine retailer and wine gifting service provider, in its Series E Preferred Stock financing ($5 million in equity and $4.5 million in debt financing)
- Represented lead investor Alta California Partners II, L.P. and Alta Embarcadero Partners II, LLC, venture capital funds of Alta Partners, in the $3 million investment in TransMedics, Inc., an early stage medical device company, for a total round of $8 million in preferred stock financing
- Represented numerous companies across a variety of industries in private placement equity and debt offerings
- Represented Reybier & Partner Investment in real property, alcohol beverage, land use and other matters related to the acquisition of Chateau Montelena in Calistoga, California
- Represented Avanti Fine Wines in its acquisition of Scott Street Portfolio, an importer of Australian wines, from out of Evans & Tate's Australian bankruptcy proceedings
- Represented Host Marriott (now Host Hotels & Resorts) in real property matters for its $4 billion acquisition of 38 domestic and international luxury hotels from Starwood Corporation
- Represented a food processing company with annual sales exceeding $60 million in its change of ownership to the third generation
